Compensation

Pursuant to the Articles of Association, members of the Supervisory Board receive for their services fixed remuneration of € 20,000 beginning 2007 in addition to reimbursement of their expenses for each financial year during which they serve on the Supervisory Board. The chairman of the Supervisory Board receives € 40,000 plus expense reimbursements and the vice chairman of the Supervisory Board receives € 30,000 plus expense reimbursements.

Committee members belonging to only one committee will receive additional compensation in the amount of € 5,000. (If a member belongs to more than one committee, compensation will be in the amount of € 5,000 for each committee).

Members acting as chairman of only one committee will receive additional compensation in the amount of € 10,000. (If acting as chairman of more than one committee, compensation will be in the amount of € 10,000 for each committee).

The remuneration is paid on a pro rata basis for periods of less than a full year of service. Total remuneration of the members of the supervisory board amounted to € 40 thousand during the year ended December 31, 2005 (prior year € 0 thousand). Memnbers of the supervisory board were reimbursed for traveling expenses totaling € 11 thousand (prior year: € 11 thousand). The Company maintains director and officer insurance for the Supervisory Board members. The Supervisory Board members are not entitled to a severance payment.
None of the members of the Supervisory Board owns any stock options for shares of Jerini AG. Dr. Stephan Goetz, a member of the Supervisory Board, owns 1,657,903 shares of Jerini AG.
